1. Acceptance of Terms

By accessing or using the Sengi platform, including the website at sengi.co and the application at app.sengi.co (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Sengi provides invoicing, project budgeting, effort tracking, and profitability management tools designed for freelancers and small teams. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You must notify us immediately at support@sengi.co if you become aware of any unauthorized use of your account or any other breach of security.

4. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are billed in advance on a monthly basis and are non-refundable except as required by law.

We may change our prices with at least 30 days advance notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Sengi and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of all data and content you create, upload, or store through the Service.

You grant Sengi a limited, non-exclusive license to use your content solely to provide the Service to you. We will not use your content for any other purpose without your explicit consent.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe upon the rights of others, including intellectual property rights.
• Transmit malicious code, viruses, or any other harmful technology.
• Attempt to gain unauthorized access to the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Sengi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

In no event shall our total liability exceed the amount you paid to Sengi during the twelve months preceding the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

8. Termination

You may terminate your account at any time by contacting us or using the account settings within the application. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. We will retain your data for a reasonable period to allow you to export it, after which it may be permanently deleted.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sengi operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
